Seo Service Agreement

  • The contract between eBusinessWeb.net (EBIZ) and you and your heirs, agents, successors, and assigns (collectively, “Client”) is made effective as of the date of your Electronic signature.
  • Client agrees to pay according to payment schedule listed in the invoice, which includes the Electronic signature of Client. The invoice is sent along with EBIZ Search Engine Optimization (SEO) Service Agreement.
  • The contract period is on a month to month basis from the date of Client’s electronic signature.
  • All payments made by Client for EBIZ services, including any change order, are non-refundable.
  • To cancel the contract, Client must email us at customersupport@ebusinessweb.net or mail us a registered cancellation letter at 15500 Erwin St Ste 4007, Van Nuys, CA 91411 anytime.
  • Any additional service different from the initial request to be availed by Client will require the need for another Electronic signature from Client. EBIZ will not commence any additional work unless Client signs another Electronic signature.
  • EBIZ will communicate with the Client through an online collaboration tool called Basecamp.
  • EBIZ's SEO specialist will perform keyword analysis based on the keyword profiler completed by Client. Client may suggest additional keywords but EBIZ SEO specialist has the final authority in determining the selection of keywords.
  • EBIZ's SEO specialist will create customized text, which is written with technique that search engine spiders will understand, and follow the optimization standards (minimum of 300 words with 3% keyword density). Client will only be allowed to make minor revisions because any radical change on the content made by Client will not be processed because such action may affect the effectiveness of EBIZ's SEO techniques.
  • There will be a maximum of 3 rounds of revisions in keyword selection process and content creation process. Revisions beyond this point are subject to additional charges.
  • EBIZ will send a visibility report after 120 days from the date of submission of Client's optimized contents every month thereafter until the end of the contract period.
  • t is important for Client to keep in contact with EBIZ throughout the entire project. Failure by Client to respond to any of our email after 15 business days from the date of the sent email, the project will be deemed abandoned and completed.
  • Prior to the optimization process, Client must immediately provide the login and password where Client's web site is hosted when asked so we can upload all changes made on Client's web site. Failure to do so will allow EBIZ to cancel the contract without any refund to Client.
  • EBIZ strives towards creating an optimized site. However, EBIZ does not guarantee that EBIZ's optimization work will result to increasing Client’s business.
  • EBIZ will use the content approved by Client to complete Client’s web site. Client presents to EBIZ and unconditionally guarantees that all content, like photos and texts, are owned by Client or Client has permission from the rightful owner to use each element and will hold, protect, and defend EBIZ harmless from any claim or suit arising from their use.
  • Should Client fail to pay on the due date, EBIZ shall have the following rights: a) terminate or suspend any access to any or all services of EBIZ, without incurring any liability whatsoever from the discontinuance of service and b) assess a 5% penalty charge per month c) charge attorney’s fee and any collection fee arising from efforts to collect all past due amounts to the extent allowed by law.
  • Merchant name to appear on your credit card statement is "eBusinessWeb.net".
  • Client agrees to indemnify and hold EBIZ harmless against any and all claims, losses, penalties, liability, or claims caused or resulting indirectly from Client’s use of EBIZ service, without limitation and exception, including client violation of any third party’s rights including but not limited to copyright trademark or any third party right.
  • EBIZ’s liability for any direct damages of any kind will not exceed an amount equal to the total amount paid by Client to EBIZ for the past 12 months. In no event shall EBIZ be liable for incidental or consequential damages or lost profits.
  • EBIZ will not tolerate any form of harassment against its employees from customers or third parties and we reserve the right to cancel a contract without refund in the event of unreasonable or inappropriate conduct.
  • Client will pay or when necessary reimburse EBIZ for taxes and duties imposed upon and by reason of the performance of EBIZ in providing services to Client.
  • Client acknowledges and agrees that EBIZ is providing non-exclusive and non-transferable services to multiple clients.
  • EBIZ agrees to provide live customer support during normal hours Monday to Friday, 7am to 5pm pacific standard or 8am to 5pm pacific daylight saving time except during Holiday period.
  • Client agrees that during the term of the contract and for a period of 24 months after the termination of this agreement, Client shall not solicit any employee or consultant of EBIZ.
  • Client will not assign nor transfer this agreement, in whole or in part, either delegate or subcontract any of its rights, without EBIZ's prior written consent. However, EBIZ has the right to assign this contract to a third party upon written notice to Client.
  • EBIZ and the Client agree that all disputes arising out of this agreement shall be brought only in the district, federal, and small claims courts located in Van Nuys, California.
